Food Web Kitchens – Referral Program Terms and Conditions

1. Introduction

Welcome to the Food Web Kitchens Referral Program. These Terms and Conditions govern your participation in the referral program operated by Food Web Kitchens ("Food Web," "we," "us," or "our"). By joining the referral program and accepting these terms, you agree to be bound by all provisions contained herein.

These terms are separate from and in addition to the general Food Web Terms and Conditions. In the event of any conflict between these Referral Program Terms and the general Terms and Conditions, these Referral Program Terms shall govern with respect to referral program matters.

Food Web operates in compliance with Canadian federal and provincial laws, including applicable tax and business regulations.




2. Definitions

For the purposes of these Referral Program Terms and Conditions:

  • "Referrer" refers to any user who has joined the referral program by accepting these terms and creating at least one referral code.

  • "Referral Code" refers to a unique alphanumeric code (3-15 characters) created by a referrer to track referrals.

  • "Signup" refers to a new user account that is tagged with a referral code at the time of registration.

  • "Conversion" refers to a kitchen's first completed booking. A kitchen with at least one completed booking is considered converted. After conversion, the referrer earns for the lifetime of that kitchen's bookings.

  • "Referral Revenue" refers to the referrer's share of Food Web's platform fee (12% default, or kitchen-specific override). The referrer takes their percentage from what would otherwise come to Food Web. Revenue is calculated from the base rental fee (amount field).

  • "Partner" refers to a user with the "partner" role, assignable by admins, typically representing organizations or strategic partners. Partners have access to a dedicated partner dashboard.

  • "Referral Ladder" refers to the tiered rate system based on conversion count, where referrers earn higher percentages as they achieve more conversions.

  • "Platform Fee" refers to Food Web's standard 12% fee on bookings, or a kitchen-specific override fee as set by the kitchen owner.




3. Eligibility & Participation

3.1. Becoming a Referrer

To participate in the referral program, you must:

  • Have a valid Food Web account.

  • Explicitly accept these Referral Program Terms and Conditions through the referrer dashboard.

  • Be at least 18 years of age and legally capable of entering into contracts.

  • Comply with all applicable laws and regulations in your jurisdiction.

3.2. Terms Acceptance

By accepting these terms, you acknowledge that you have read, understood, and agree to be bound by all provisions contained herein. Your acceptance is recorded with a timestamp and terms version for tracking purposes.

If Food Web makes significant changes to these terms, you may be required to re-accept the updated terms to continue participating in the referral program.




4. Referral Code Management

4.1. Code Format & Validation

Referral codes must:

  • Be alphanumeric only (A-Z, 0-9), with no special characters.

  • Be between 3 and 15 characters in length.

  • Be unique across all active and soft-deleted codes.

  • Not match any entry in Food Web's admin-managed code blacklist.

4.2. Code Creation & Management

Referrers may create, edit, and manage their referral codes through the referrer dashboard. You may create multiple codes, but each kitchen is only ever associated with one referral code for lifetime attribution.

Codes do not expire and have no attribution window limits. Once a kitchen is converted (first booking completed), you earn for the lifetime of that kitchen's bookings.

4.3. Code Deletion

Codes may be soft-deleted only when they have zero clicks, zero signups, zero conversions, and zero revenue. Soft-deleted codes with zero signups may be permanently deleted after 30 days.

Once a code has generated signups, conversions, or revenue, it cannot be deleted to preserve historical records and attribution integrity.




5. Attribution & Tracking

5.1. Attribution Priority

Food Web uses a fail-safe referral tracking system with the following priority order:

  1. sessionStorage.fw_ref

  2. fw_ref cookie

  3. localStorage.fw_ref

  4. ?ref=CODE or ?utm_code=CODE query parameter

5.2. Click Tracking

Food Web tracks referral clicks with unique de-duplication. A click is counted as unique if it is from the same code, same device fingerprint or IP hash, and not seen in the last 24 hours.

5.3. Kitchen Association

A kitchen is only ever associated with one referral code. Once a kitchen completes its first booking (conversion), that referral code is permanently attributed to that kitchen for all future bookings.




6. Signups vs. Conversions

Signups and conversions are tracked separately:

  • Signup: Occurs when a new user account is created and tagged with your referral code. Signups are tracked for analytics but do not generate earnings.

  • Conversion: Occurs when a kitchen completes its first booking. Only conversions generate referral revenue. After conversion, you earn for the lifetime of that kitchen's bookings.




7. Earnings & Revenue Calculation

7.1. Revenue Calculation

Referral revenue is calculated as follows:

  • Base amount: The base rental fee (amount field) from the booking.

  • Platform fee: Food Web's standard 12% platform fee, or a kitchen-specific override fee.

  • Referrer share: Your percentage (determined by tier or admin override) of Food Web's platform fee. You take your percentage from what would otherwise come to Food Web.

7.2. Rate Determination

Your referral rate is determined at the time of payment using the following priority:

  1. Admin Override: If an admin has set a custom referral rate on your account, that rate takes precedence (no expiration).

  2. Referral Ladder: Your tier is calculated based on your total conversion count at the time of payment. Higher tiers earn higher percentages.

7.3. When Revenue is Earned

Revenue is added to your account only when:

  • Payment has succeeded.

  • Booking has been completed.

7.4. Lifetime Earnings

Once a kitchen converts (completes its first booking), you earn referral revenue for the lifetime of that kitchen's bookings. Earnings accrue indefinitely, subject to the provisions in Section 7.5.

7.5. Food Web's Right to Adjust

Food Web reserves the right to trim or renegotiate referral earnings after 5 years from the first referral or after $1,000,000 CAD in total revenue has been generated by a referrer, whichever comes first. In such cases, Food Web will provide at least 90 days notice and work with the referrer to establish fair terms.




8. Fund Hold Period & Refunds

8.1. 30-Day Hold Period

Referrer funds are held for 30 days after a booking is completed and payment is successful. During this hold period, funds are in "pending" status and are not available for payout.

8.2. Refund Policy

If a refund occurs during the 30-day hold period, the referrer receives nothing for that booking. Refunds are considered unsuccessful bookings, and no referral revenue is earned or paid out for refunded transactions.

After the 30-day hold period expires, funds move from "pending" to "available" status and may be requested for payout.




9. Payout Process

9.1. Minimum Threshold

Payouts require a minimum balance of $100 CAD. You may only request a payout when your available balance (after the 30-day hold period) meets or exceeds this threshold.

9.2. Payment Methods

Currently, payouts are processed via Bank Transfer. Stripe payout integration is planned for the future and will be announced when available.

9.3. Payout Request Process

To request a payout:

  1. Submit a payout request through the referrer dashboard when your available balance meets the $100 CAD minimum.

  2. Funds move from "pending" to "claimed" status, and a payout request is created with status "pending."

  3. Food Web admins review and approve the request (typically within 7 business days).

  4. Once approved, the payout is processed within 7 business days via bank transfer.

  5. You will receive notifications when your payout is approved and when it is processed/completed.

9.4. Payout Rejections

Food Web reserves the right to reject payout requests for any reason, including but not limited to suspected fraud, violation of these terms, or account issues. If a payout is rejected, funds return to "available" status, and you will be notified with the reason for rejection.




10. Prohibited Conduct

Referrers must not:

  • Create fraudulent or misleading referral codes or labels.

  • Use referral codes in spam, unsolicited emails, or other prohibited marketing practices.

  • Manipulate or attempt to game the referral system, including but not limited to creating fake accounts or artificially inflating click/signup counts.

  • Violate any applicable laws or regulations in promoting or using referral codes.

  • Use referral codes in a manner that damages Food Web's reputation or brand.

Violations may result in immediate suspension or termination of your referral account, forfeiture of pending and available earnings, and legal action where appropriate.

10.1. Self-Referral

Self-referral is not explicitly prohibited. A valid referral requires a kitchen with at least one completed booking. If someone self-refers and generates legitimate bookings, Food Web still earns revenue, which is acceptable.

10.2. Code Sharing

Referral codes may be shared publicly or through paid advertising, subject to compliance with these terms and applicable laws. Food Web does not restrict how you promote your referral codes, provided you do not engage in prohibited conduct.




11. Tax & Reporting

Food Web operates in Canada. Referrers are responsible for:

  • Reporting referral earnings as income in accordance with applicable tax laws in your jurisdiction.

  • Paying any taxes owed on referral earnings.

  • Providing accurate tax information when requested by Food Web or tax authorities.

Food Web may be required to report referral earnings to tax authorities in accordance with Canadian law. Tax reporting requirements will be determined as needed and communicated to referrers.




12. Account Termination & Data

12.1. Termination by Referrer

You may stop participating in the referral program at any time by ceasing to create or promote referral codes. However, you remain entitled to earnings from conversions that occurred prior to termination, subject to these terms.

12.2. Termination by Food Web

Food Web reserves the right to suspend or terminate your referral account at any time for violation of these terms, suspected fraud, or any other reason deemed necessary. In the event of termination:

  • You forfeit all pending and available earnings, unless Food Web determines otherwise.

  • Your referral codes may be disabled or blacklisted.

  • Historical attribution data is preserved for record-keeping purposes.

12.3. Account Deletion

Food Web accounts are not hard-deleted. If your account is deactivated, referral data and attribution records are preserved. Orphaned referrals (referrals from deleted or deactivated accounts) are handled gracefully in system logic.




13. Disclaimers & Limitations

13.1. No Guarantees

Food Web does not guarantee that:

  • Your referral codes will generate signups or conversions.

  • Referred kitchens will complete bookings or remain active on the platform.

  • Referral rates or program terms will remain unchanged indefinitely.

13.2. Platform Availability

Food Web is not liable for any losses or missed earnings due to platform downtime, technical issues, or system errors. We will make reasonable efforts to resolve issues promptly and fairly.




14. Amendments & Changes

Food Web reserves the right to modify these Referral Program Terms and Conditions at any time. Significant changes will be communicated to referrers, and you may be required to re-accept updated terms to continue participating.

Food Web will make reasonable efforts to keep referral ladder rates stable for the foreseeable future. However, we reserve the right to adjust rates, tiers, or program structure with appropriate notice.

Continued participation in the referral program after changes are made constitutes acceptance of the updated terms.
