Food Web Terms and Conditions
Welcome to Food Web Kitchens. These Terms and Conditions ("Terms") govern your access to and use of the Food Web platform, including our website, mobile applications, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
1. Acceptance of Terms
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Definitions
For the purposes of these Terms: -"Food Web," "we," "us," or "our" refers to Food Web Kitchens and its affiliates.-"Platform" refers to the Food Web website, mobile applications, and all related services.-"User," "you," or "your" refers to any individual or entity that accesses or uses the Platform.-"Kitchen Owner" refers to a User who lists and offers kitchen space for rent through the Platform.-"Renter" refers to a User who books and rents kitchen space through the Platform.-"Booking" refers to a reservation of kitchen space made through the Platform.
3. Account Registration and Eligibility
3.1 Account Requirements
To use certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration- Maintain and promptly update your account information- Maintain the security of your account credentials- Accept responsibility for all activities that occur under your account- Be at least 18 years of age or the age of majority in your jurisdiction
3.2 Account Approval
Food Web reserves the right to approve or reject any account registration. Kitchen Owners may require additional approval from Food Web administrators or health inspectors before their kitchens can be listed on the Platform.
4. Platform Services
Food Web operates as a marketplace platform that connects Kitchen Owners with Renters. Food Web is not a party to any rental agreement between Kitchen Owners and Renters. Food Web facilitates transactions but does not own, operate, or manage any kitchen facilities.
5. Kitchen Listings
5.1 Listing Requirements
Kitchen Owners who list kitchens on the Platform agree to:
- Provide accurate and complete information about their kitchen facilities- Maintain all necessary licenses, permits, and insurance as required by law- Comply with all applicable health and safety regulations- Keep kitchen availability and pricing information current- Honor confirmed bookings and provide access to the kitchen as described
5.2 Kitchen Owner Responsibilities
Kitchen Owners are solely responsible for:
- The condition, safety, and compliance of their kitchen facilities- All interactions with Renters- Compliance with all applicable laws, regulations, and health codes- Resolving disputes with Renters directly
6. Bookings and Payments
6.1 Booking Process
Renters may book available kitchen time slots through the Platform. Bookings are subject to:
- Availability as shown on the Platform- Kitchen Owner approval (if required)- Successful payment processing
6.2 Payment Terms
All payments are processed through our third-party payment processor, Stripe. By making a booking, you agree to:
- Pay the total booking amount, including applicable fees and taxes, at the time of booking- Authorize Food Web and its payment processor to charge your payment method- Accept that payment processing fees may apply
6.3 Fees
Food Web charges service fees for use of the Platform. These fees may include:
- Platform fees charged to Renters- Platform fees charged to Kitchen Owners- Payment processing fees All fees are disclosed to you before you complete a booking. Fees are subject to change with notice.
7. Cancellations and Refunds
7.1 Cancellation Policies
Each Kitchen Owner sets their own cancellation policy. Cancellation policies may include: -24 Hours Notice: 100% refund minus fees if cancelled at least 24 hours before booking-48 Hours Notice: 100% refund minus fees if cancelled at least 48 hours before booking-No Refunds: No refunds provided for cancellations The specific cancellation policy for each kitchen is displayed on the kitchen listing page. By making a booking, you agree to the cancellation policy specified for that kitchen.
7.2 Refund Processing
If you are entitled to a refund under the applicable cancellation policy, refunds will be processed to your original payment method within 5-10 business days. Platform fees and payment processing fees are generally non-refundable unless required by law.
8. User Conduct
You agree not to:
- Use the Platform for any illegal or unauthorized purpose- Violate any applicable laws or regulations- Infringe upon the rights of others- Post false, misleading, or fraudulent information- Interfere with or disrupt the Platform or servers- Attempt to gain unauthorized access to any portion of the Platform- Use automated systems or bots to access the Platform without permission
9. Intellectual Property
The Platform and all content, features, and functionality are owned by Food Web or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content from the Platform without our express written permission.
10. Disclaimers and Limitation of Liability
10.1 Platform Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FOOD WEB DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOOD WEB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.
10.3 Kitchen Owner and Renter Relationship
Food Web is not responsible for the quality, safety, or legality of kitchen facilities listed on the Platform. Any disputes between Kitchen Owners and Renters must be resolved directly between the parties. Food Web may, but is not obligated to, assist in resolving disputes.
11. Indemnification
You agree to indemnify, defend, and hold harmless Food Web, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any rights of another.
12. Termination
Food Web reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.
13. Referral Program
Food Web may offer a referral program that allows Users to earn commissions for referring new Users to the Platform. Participation in the referral program is subject to separate terms and conditions, which will be provided when you join the program. Referral commissions are subject to hold periods and may be forfeited if bookings are refunded.
14. Modifications to Terms
Food Web reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date" at the top of this document. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia, Canada, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be resolved in the courts of Nova Scotia, Canada.
